This Partner Product License Agreement (the "Agreement") governs the digital products that P4P Digital Products LLC ("P4P," "we," "us") provides at no charge to an approved partner ("you") through the P4P Partner Program. By claiming, downloading, or using any product provided to you as a partner, you agree to these terms. If you do not agree, do not claim or download the products.

1. What you receive

As an approved partner, P4P grants you free access to specific digital products based on your partner tier (the "Licensed Products"). These are provided so you can review, demonstrate, and recommend them in your own content. The Licensed Products remain the exclusive property of P4P.

2. The license we grant you

P4P grants you a limited, personal, non-exclusive, non-transferable, non-sublicensable, and revocable license to:

• Download and use the Licensed Products for your own personal review and evaluation; and
• Show, feature, demonstrate, and recommend the Licensed Products in content you create to promote P4P (for example, videos, posts, reviews, and livestreams).

That is the entire scope of the license. Any use not expressly permitted here is reserved to P4P.

3. What you may not do

You agree that you will not, and will not help or permit anyone else to:

• Copy or redistribute the Licensed Products, in whole or in part, or share, sell, sublicense, lend, give away, or otherwise distribute the files to any third party.
• Recreate, clone, or reproduce the Licensed Products or any substantially similar product, including by using artificial intelligence or any automated tool to generate, derive, or "regenerate" the content, structure, layout, prompts, templates, text, or design from the Licensed Products.
• Create derivative works based on the Licensed Products, or repackage, rebrand, or resell them or any product derived from them.
• Reverse engineer, decompile, extract, or disassemble any Companion app or file, or attempt to access its underlying source, assets, or data, except to the limited extent that applicable law expressly permits despite this restriction.
• Remove, obscure, or alter any branding, copyright notice, watermark, attribution, or other proprietary marking.
• Represent that you created the Licensed Products, or use them in any way that is unlawful, misleading, or harmful to P4P, its mission, or the Veterans it serves.

4. Trademarks and brand

"P4P," "P4P Digital Products," "Battle Buddy Companion," the P4P emblem, the Companion names, and related names, logos, and designs are trademarks and brand assets of P4P. Your partner license does not give you any ownership of these marks. You may refer to them truthfully to identify and promote P4P's products, but you may not use them on your own products, register them, imitate them, or use them in any way that suggests P4P endorses something it has not approved, or that could cause confusion about the source of a product.

5. Intellectual property stays with P4P

All copyrights, trademarks, and other intellectual property rights in and to the Licensed Products are and remain owned by P4P. Nothing in this Agreement transfers any ownership to you. Receiving a product for free does not give you any right to reproduce or commercialize it.

6. Required disclosure (FTC)

Because you receive these products for free, you have a "material connection" to P4P under U.S. Federal Trade Commission guidelines. Whenever you feature, review, or recommend a Licensed Product, you must clearly and conspicuously disclose that P4P provided it to you free of charge (for example, "Provided free by P4P" or "#gifted"). This protects you and us, and keeps your recommendations honest.

7. The mission still comes first

P4P is veteran-built and mission-funded: 50% of net profits fund the organization and operational cost of the P4P Foundation (currently in formation), supporting disabled Veterans nationwide. You agree not to use the Licensed Products or the P4P brand in any way that undermines that mission.

8. Term and termination

This license lasts only while you are an approved partner in good standing. P4P may suspend or revoke your license and partner access at any time, with or without cause, including if you breach this Agreement. On termination you must stop using the Licensed Products for promotion and delete any copies in your possession, except content you have already lawfully published that complies with this Agreement. Sections 3, 4, 5, 9, and 10 survive termination.

9. No warranty

The Licensed Products are provided "as is," without warranties of any kind. P4P is not liable for any indirect, incidental, or consequential damages arising from your use of the Licensed Products, to the maximum extent permitted by law.

10. Remedies

You acknowledge that unauthorized copying, recreation (including by AI), redistribution, or resale of the Licensed Products would cause P4P irreparable harm for which money damages alone would be inadequate, and that P4P is entitled to seek injunctive relief in addition to any other remedies available at law or in equity.

11. General

This Agreement is governed by the laws of the Commonwealth of Pennsylvania, without regard to its conflict-of-laws rules. If any provision is held unenforceable, the rest remains in effect. This Agreement is the entire agreement between you and P4P regarding the Licensed Products and supersedes any prior understanding on that subject.
